This End User License Agreement ("Agreement") governs use of shc-jac (the "Application"), software owned and operated by Shoal Harbor Management LLC ("Shoal Harbor Capital," "we," "us," or "our"). The Application is a private, internal-use tool. By using it, the authorized user agrees to this Agreement.
The Application is provided for the sole, internal business use of Shoal Harbor Management LLC and its authorized personnel, to manage accounting records in QuickBooks Online company files we own or are authorized to administer. No license is granted to any third party or member of the public.
The Application may not be sold, distributed, sublicensed, or used to access any QuickBooks company without proper authorization. Authorized users will not reverse engineer the Application for unlawful purposes or use it in violation of applicable law or Intuit's terms.
The Application connects to QuickBooks Online, a service of Intuit Inc. Use of QuickBooks Online and its API is subject to Intuit's own terms and policies. We are not affiliated with or endorsed by Intuit, and Intuit is not a party to this Agreement.
Handling of data accessed through the Application is described in our Privacy Policy, which is incorporated by reference.
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Application will be uninterrupted or error-free.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOAL HARBOR MANAGEMENT LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA OR PROFITS, ARISING OUT OF OR RELATED TO THE APPLICATION.
This Agreement applies while the Application is in use. We may suspend or discontinue the Application at any time. Access can be revoked at any time from within QuickBooks Online (Apps → Connected apps).
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
